1. Introduction

1.1 These Terms of Use (“Terms”) govern your (“Investor”, “User”, “You”, “Your”) access to and use of the Equigini platform (“Platform”, “Website”, “Application”).

1.2 Equigini is an invite-only, digital facilitation platform designed to provide access to curated mandates for private placements, capital raises, rights issues, preferential allotments, Qualified Institutional Placements (QIPs), and similar investment opportunities.

1.3 We are not registered with SEBI and provide consultancy or advisory services only.

1.4 By accessing or using the Platform, You:

  • Represent that You are an eligible investor under applicable law.
  • Agree to comply with these Terms, the Privacy Policy, and the Disclaimer, all of which together constitute a legally binding agreement between You and Pantomath Fund Managers Pvt. Ltd.

1.5 If You do not agree with these Terms, You must immediately cease access to the Platform.

2. Definitions

For the purposes of these Terms:

  • Investor: Any institutional investor, QIB, accredited investor, angel investor, family office, fund, or entity granted access to Equigini.
  • Issuer: A company, entity, or promoter group seeking to raise capital via private placement or related mechanisms.
  • Deal: Any capital raise mandate listed on Equigini.
  • NDA: Non-Disclosure Agreement executed by an Investor to access confidential deal information.
  • EOI: Expression of Interest submitted by an Investor for a specific deal.
  • Watchlist: A feature allowing Investors to track deals of interest.
  • User Content: Any testimonials, messages, or voluntary content submitted by Investors.
  • Services: All features, data, and functionalities of Equigini, including investor registration, deal browsing, NDA/EOI management, watchlist curation, notifications, and analytics.
  • Applicable Law: All relevant laws, regulations, guidelines, circulars, and rules including but not limited to SEBI Regulations, FEMA, Companies Act, IT Act, and RBI directives.

3. Eligibility & Access

3.1 Access to Equigini is by invitation only. Eligibility is restricted to:

  • Institutional investors such as mutual funds, insurance companies, pension funds, sovereign wealth funds, banks, and NBFCs.
  • Qualified Institutional Buyers (QIBs) under SEBI guidelines.
  • Accredited investors recognized under SEBI’s accreditation framework.
  • Family offices, HNIs, and angel investors subject to approval.
  • International investors subject to FEMA and sectoral restrictions.

3.2 Each registration request is subject to KYC verification, AML checks, and compliance review. The Company reserves the right to approve or reject access at its sole discretion.

3.3 By registering, You represent and warrant that:

  • You are legally capable of entering into contracts.
  • You are not barred under any Applicable Law from participating in private placements.
  • All information provided by You is accurate, truthful, and current.

4. Platform Services

4.1 Equigini provides:

  • Investor Registration: Secure onboarding with password encryption (bcrypt).
  • Deal Listings: Access to curated mandates including equity, debt, hybrid instruments, and structured raises.
  • Advanced Filtering: Sector, stage, geography, ticket size, and status-based deal discovery.
  • NDA Execution: Secure digital signing and storage of NDAs.
  • EOI Management: Submission and tracking of expressions of interest.
  • Watchlist: Ability to bookmark and monitor deals.
  • Testimonial Submission: Optional investor feedback for public display.
  • Notifications: Updates on new deals, deal progress, and allocation outcomes.

4.2 Services are subject to modifications, suspension, or termination at the Company’s discretion.

5. User Obligations

5.1 You agree to:

  • Provide true, accurate, and updated information during registration.
  • Maintain confidentiality of login credentials and not share access.
  • Use the Platform only for lawful purposes.
  • Comply with all Applicable Laws, SEBI guidelines, and sectoral restrictions.
  • Refrain from unauthorized use, hacking, scraping, or data mining.
  • Respect confidentiality of deal documents and refrain from disclosing them without authorization.

5.2 Misrepresentation, misuse, or breach of these Terms may result in suspension or termination of access without notice.

6. Confidentiality & Non-Disclosure

6.1 Investors acknowledge that deal information is confidentialand may be disclosed only after signing an NDA.

6.2 You undertake not to:

  • Share, copy, reproduce, or distribute deal-related documents.
  • Use confidential information for purposes beyond evaluating the deal.
  • Circumvent the Platform by directly approaching issuers without Pantomath’s consent.

6.3 Breach of confidentiality may attract civil damages, termination of access, and legal proceedings.

7. Deal Information & Disclaimers

7.1 Equigini provides deal information as uploaded by issuers. Pantomath exercises diligence but does not warrant accuracy, completeness, or reliability.

7.2 Investors are responsible for conducting independent due diligence before making any investment decisions.

7.3 Submission of EOI or NDA does not guarantee allocation or binding commitment.

8. No Advisory Relationship

8.1 Equigini does not provide:

  • Investment advisory services under SEBI (Investment Advisers) Regulations, 2013.
  • Portfolio management services.
  • Research reports or securities recommendations.

8.2 All information provided is for informational purposes only.

9. Investor Representations

By using Equigini, You confirm that:

  • You have the financial sophistication to evaluate investment risks.
  • You understand that investments may result in loss of capital .
  • You will not hold Pantomath liable for investment outcomes.
  • You are not accessing the Platform in violation of any laws applicable in Your jurisdiction.

10. Platform Data Handling

10.1 All personal and financial information is handled per the Privacy Policy.

10.2 Sensitive data such as PAN, NDA, and EOI documents are encrypted and stored securely.

10.3 The Platform uses JWT authentication for session management.

10.4 Cookies may be used for session tracking, analytics, and performance optimization.

11. Intellectual Property

11.1 All intellectual property including software, APIs, databases, UI/UX, logos, and trademarks belong to Pantomath.

11.2 You may not copy, reverse-engineer, distribute, or modify Platform content without written consent.

11.3 Testimonials submitted by Investors may be used by the Company for promotional purposes.

12. Third-Party Links

12.1 Equigini may include links to third-party websites or documents. These are provided for convenience only.

12.2 The Company does not endorse or assume liability for third-party content, accuracy, or services.

13. Limitation of Liability

13.1 To the maximum extent permitted by law, the Company shall not be liable for:

  • Direct, indirect, incidental, or consequential damages arising from Platform use.
  • Loss of capital or investment returns.
  • Unauthorized access, cyberattacks, or service disruptions.
  • Errors, omissions, or misstatements in deal listings.

13.2 Liability, if any, shall be limited to the amount of fees (if any) paid by the Investor to access the Platform.

14. Indemnification

You agree to indemnify and hold harmless Pantomath, its directors, employees, affiliates, and partners from claims, damages, liabilities, and expenses arising from:

  • Misuse of the Platform.
  • Breach of these Terms.
  • Violation of Applicable Laws.
  • Unauthorized disclosure of confidential deal information.

15. Regulatory Compliance

15.1 Investors must comply with:

  • SEBI Regulations on private placements, QIPs, and preferential issues.
  • Companies Act, 2013 private placement norms.
  • FEMA & RBI guidelines for cross-border investments.
  • Taxation laws applicable in India and their home jurisdiction.

15.2 The Company is not responsible for investor non-compliance.

16. Account Suspension & Termination

16.1 The Company may suspend or terminate Investor accounts if:

  • Information provided is false or misleading.
  • Investor breaches confidentiality obligations.
  • Investor misuses deal information.
  • Regulatory or legal orders require such action.

16.2 Investors may request voluntary account closure, subject to regulatory retention of data.

17. No Guarantee of Returns

17.1 Investments listed on Equigini involve risks, including complete loss of capital.

17.2 Pantomath does not guarantee:

  • Allocation in deals.
  • Completion of fundraising mandates.
  • Returns on investment or future performance.

18. Testimonials & Public Data

18.1 Testimonials submitted by Investors may be displayed publicly with name, type, and image.

18.2 Investors consent to such display by submitting testimonials.

19. Force Majeure

The Company shall not be liable for failure to perform obligations due to events beyond reasonable control, including natural disasters, cyberattacks, pandemics, government restrictions, or system failures.

20. Governing Law & Jurisdiction

20.1 These Terms shall be governed by the laws of India.

20.2 Courts of Mumbai, Maharashtra shall have exclusive jurisdiction.

21. Dispute Resolution

21.1 Any disputes shall first be attempted to be resolved via good faith negotiation.

21.2 If unresolved, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.

  • Tribunal: Sole arbitrator appointed by the Company

22. Amendments

The Company reserves the right to modify these Terms at any time. Updates shall be effective upon posting on the Platform. Continued use constitutes acceptance of modifications.
